This document is a structural placeholder. It has not been reviewed by counsel and creates no obligations for either party. Do not launch publicly until it has been completed and signed off.
1. Scope
To write: Who these terms bind, which services they cover, and how they relate to any separate agency agreement signed offline.
2. Eligibility
The platform is for adults only. You must be at least 18 years old to apply, and creators must complete age verification before an application can be approved.
To write: Add the consequence of misrepresenting age, and any jurisdictions excluded from the service.
3. Accounts
To write: Account security obligations, one account per person or entity, and the rules for sharing access within an agency.
4. Applications and vetting
Applications are reviewed individually. Approval is discretionary and no applicant is entitled to admission, a match, or an explanation of a rejection.
To write: State the vetting criteria at a level that is honest without being exploitable, and the process for reapplying after a rejection.
5. Matching
Matches are made by our team. Neither creators nor agencies can browse the other side of the platform, and introductions only happen when both parties have been approved.
To write: Clarify that LaraModels is not a party to the agreement between creator and agency, and what happens when a match is ended by either side.
6. Fees and revenue share
Creators pay nothing. LaraModels earns a share of the revenue agencies generate from matched creators.
To write: The commercial terms: percentage, how revenue is reported, reporting deadlines, invoicing and payment terms, and the consequences of under-reporting.
7. Prohibited conduct
To write: Circumventing the platform to avoid the revenue share, charging creators upfront fees, misrepresenting identity or performance, harassment, and any attempt to identify users outside an approved match.
8. Suspension and termination
To write: Grounds for removing an account, whether notice is given, and what happens to active matches and outstanding revenue on termination.
9. Liability
To write: Limitation of liability, expressly carved back where the applicable law does not permit exclusion.
10. Governing law and disputes
To write: Governing law, venue, and any mandatory consumer protections that override the choice of forum.
